1.1 Definitions

For the purposes of these Terms of Service, the following words have the following meanings. These same meanings also apply wherever the term appears in the End-User License Agreement and the Privacy Policy, unless a different meaning is expressly stated.

“Command Intelligence Center,” or “the Company” means Command Intelligence Center, the company that provides the Service.

“Customer,” “you,” or “your” means the person, entity, or organization that purchases, accesses, or uses the Service.

“Agent” or “Agents” means a pre-built AI assistant that you activate into your workspace. Each Agent runs on Skills, and Skills has the meaning defined in these Definitions.

“Skills” means the instructions, prompts, orchestration logic, and configurations that power the Agents. (Where these Terms refer to what an Agent “does,” it is the Skills that do it.)

“Connector” means the software operated by Command Intelligence Center that relays messages between your workspace and the AI Provider, and AI Provider has the meaning defined in these Definitions. The Connector is temporary and pass-through: it processes a message only in the moment needed to produce a response and does not store the content of your messages.

“AI Provider” means the third-party large-language-model provider whose model powers the Agents (for example, Anthropic or OpenAI).

“Key” means an AI Provider API credential used to run the Agents.

“BYOK” (Bring Your Own Key) means that you supply and use your own AI Provider Key, on your own AI Provider account, to power the Agents. Under BYOK you pay the AI Provider directly for usage.

“Trial Key” means a Key that Command Intelligence Center provides free of charge for a limited time and a limited amount of usage so you can activate on the spot.

“Managed Key” means a Key that Command Intelligence Center provides and manages for you for a recurring fee.

“Content” means the messages, files, and data you or your users submit through your workspace.

1.2 Acceptance

By purchasing, accessing, or using the Service, you agree to these Terms of Service (the “Terms”), the End-User License Agreement (“EULA”), and the Privacy Policy, each of which is incorporated by reference into these Terms. If you use the Service it is presumed that you agree to the Terms, the EULA, and the Privacy Policy. If you use the Service on behalf of an entity or organization, you represent that you are authorized to bind the entity or organization.

1.3 The Service

The Service activates pre-built Agents into your own third-party workspace (for example, Slack). The Agents’ Skills run on the Connector, which processes your messages only in the moment needed to generate a response, does not retain Content, and does not expose Content to review by any person at Command Intelligence Center. The Service depends on third parties you connect (your workspace provider and your AI Provider).

Command Intelligence Center is not responsible for those third parties’ acts, outages, or terms.

1.4 Eligibility & Accounts

By using the Service, you acknowledge that you are at least eighteen (18) years of age and capable of entering into a binding contract. You are solely responsible for your account credentials, all activity operated under your account, and the security and safekeeping of your connected workspace and your Keys.

1.5 U.S.-Based Service

The Service is a U.S.-based service, offered by a U.S.-based company, and intended for use in the United States. By using the Service, you acknowledge that if you access the Service from outside the United States, you do so on your own initiative and are responsible for compliance with laws in the locality in which you access the Service.

1.6 Billing, Subscriptions, Trials & Refunds

Prices and plan details are shown at checkout, and the relevant monetary terms are presented again at the point of payment so that you can confirm any costs before you are charged.

Fees. The Service is offered as a one-time license fee and any optional subscription (community and/or managed), as described at checkout. Prices exclude taxes, and you are responsible for any applicable sales tax, VAT, GST, or other taxes.

Auto-renewal. Community and managed subscriptions renew automatically until you cancel. Your subscription renews on the calendar day that follows the last day of your then-current billing period (for example, a monthly subscription that begins on the 5th renews on the 5th of the following month). The Company will charge your payment method on the renewal date.

Cancellation. You may cancel at any time. To stop the next renewal, cancel at least one (1) day before the renewal date. Cancellation takes effect at the end of the current billing period, and you will have access until then. The Company does not refund or prorate the current period once a subscription has started.

Price changes. The Company will not change the price or length of your subscription during a billing period for which you have already paid. If a price changes, the Company will notify you at least thirty (30) days before your next renewal date. The new price applies only to renewals that occur after the notice period.

Trial Key. If you activate using a Trial Key, it is time- and usage-limited and will deactivate automatically on the earliest of the stated date and time (in your local time zone) or when it reaches its usage cap. When the Trial Key deactivates, your Agents stop working until you add your own Key (BYOK) or subscribe to a managed plan. Using a Trial Key does not extend or reset any refund window, and usage consumed on a Trial Key is a Company cost, not a basis for a refund. You consent to reminder notifications about expiry and migration.

Managed Key. If you subscribe to a managed plan, Command Intelligence Center provides a Key and bills you a recurring fee; usage may be capped or metered as described at checkout. AI Provider usage remains subject to the AI Provider’s terms.

Refunds — refund window. You may request a refund of the license fee within ten (10) days of your purchase. The window is measured from the date and time of your purchase confirmation. After ten (10) days, refunds are not allowed.

Eligibility. You are eligible for a full refund of the license fee if you request the refund within ten (10) days of your purchase and (i) you have not completed activation of your workforce, or (ii) you completed activation but encountered a technical problem that the Company’s support team could not resolve within the window.

You are not eligible for a refund if the request for a refund is made more than ten (10) days after your purchase, or your workforce is activated and works as described. You are also ineligible for a refund if you violated the EULA or the acceptable-use terms.

You are not eligible for a refund for: AI usage already consumed (including on a Trial Key or Managed Key) and any third-party pass-through costs; community/subscription periods already accessed; setup, onboarding, or implementation fees once work has begun (if you cancel before your first session/kickoff, that fee is refundable; after kickoff, completed work is billed and non-refundable); and add-on Agents once activated.

Requesting a refund. In order to request a refund, email the Company at hello@commandintelligencecenter.com within the allowable time period of ten (10) days and, if applicable, a short description of the technical issue. The Company aims to respond within two (2) days. You will be notified if your refund request is approved, and any approved refunds will go to your original payment method, usually within five (5) to ten (10) days. The exact timing for any refund to go back to your original payment method may depend on your bank and payment processor.

Works as described. Your workforce “works as described” when the Agents you purchased activate in your workspace and respond to instructions as described at checkout.

Chargebacks. Please contact us before disputing a charge.

1.7 Your Keys & Third-Party Accounts (BYOK)

If you use your own Key (BYOK), you are solely responsible for your AI Provider account, its costs, its usage caps, and compliance with the AI Provider’s terms. You authorize Command Intelligence Center to use the Key solely to operate your Agents. You may revoke the Company’s access to your Key at any time. However, doing so will stop your Agents.

1.8 Acceptable Use

You operate the Agents in your own workspace using your chosen AI Provider. You are responsible for your use of the Agents, the instructions you give the Agents, and the outputs upon which you rely or share. Command Intelligence Center does not monitor, review, or moderate your Content or your Agents’ outputs, and does not retain your conversation Content. If you use the Service, you specifically acknowledge and agree to the following:

  • You will use the Service only in the United States.
  • You will use the Service only if you are eighteen (18) years of age or older.
  • You will only use the Service for lawful purposes, and you will not use the Service to engage in any unlawful actions or in violation of any law or regulation.
  • You will not use the Service to infringe or misappropriate the intellectual property, privacy, or other rights of any person or entity.
  • You will not use the Service to create or send malware, phishing, spam, or unsolicited bulk messages, or to harass, threaten, defame, or harm any person or entity.
  • You will not resell, copy, reverse-engineer, or attempt to reconstruct the Skills or underlying logic, or use the Service to build a competing product.
  • You will not circumvent security, usage caps, Key controls, or license limits, or overload or disrupt the Service.
  • You will not upload the personal or confidential data of any person or entity without a lawful basis and authorized consent.

Violation. Command Intelligence Center may suspend or terminate your access to the Service for any violation of these acceptable-use terms.

1.9 AI Output & Disclaimer

The Agents generate content and take actions based on your instructions and the AI Provider you connect. If you use the Service, you acknowledge and agree that:

AI can be wrong. Outputs may be inaccurate, incomplete, outdated, or fabricated (“hallucinated”). Review outputs before relying on them.

The Service does not provide professional advice. The Agents do not provide legal, medical, financial, tax, or other professional advice. The use of the Service or any output does not create a professional relationship.

You retain control and responsibility. The Agents act on your instructions, in your workspace, using your chosen AI model. You are responsible for your use, configurations, and reliance on the Agents’ outputs. You are also responsible for any outputs you share.

There are no guarantees. Command Intelligence Center makes no promises or guarantees for specific outcomes, performance, revenue, or savings.

The use of third-party providers. The Agents rely on third-party AI Providers. The Company does not control your workspace provider’s availability, behavior, and terms.

Disclosure. Content produced by the Agents is generated with artificial intelligence. When you share AI-generated content, you are responsible for any disclosures required by applicable law, policies, or regulations.

1.10 Privacy

The use and collection of personal data is handled under the Company’s Privacy Policy, which is incorporated into these Terms and is available at cis.commandintelligencecenter.com/privacy.

1.11 License

Your right to activate and use the Agents and their Skills is granted under, and limited by, the End-User License Agreement (Section 2).

1.12 Availability; No SLA for Standard Tiers

The Service is provided on an “as available” basis. Standard tiers (license, community, trial, and self-serve managed) do not include an uptime service-level agreement. Any uptime commitment applies only to a Done-For-You/enterprise engagement under a separate signed order or statement of work.

1.13 Intellectual Property

Command Intelligence Center owns all rights in the Service, the Skills, the Agent library, the Connector, and its trademarks. You own your Content and your business inputs. You grant Command Intelligence Center a limited license to process your Content solely to provide the Service, in the temporary manner described in these Terms and pursuant to the Privacy Policy and EULA.

1.14 Termination & Suspension

You may stop using the Service at any time. Command Intelligence Center may terminate or suspend access to the Service for breach of these Terms, non-payment, or risk to the Service or others. Sections that by their nature survive (intellectual property, disclaimers, limitation of liability, indemnity, and dispute resolution) survive termination.

1.15 Disclaimers

THE SERVICE, THE SKILLS, AND ALL AI OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY OF ACCURACY, RELIABILITY, OR RESULTS.

1.16 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMMAND INTELLIGENCE CENTER IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR AI-PROVIDER COSTS. COMMAND INTELLIGENCE CENTER’S TOTAL LIABILITY WILL NOT EXCEED THE AMOUNTS YOU PAID IN THE SIX (6) MONTHS BEFORE THE CLAIM ARISES.

1.17 Indemnification

You will indemnify Command Intelligence Center against claims against the Company arising from your Content, your use of the Service, your violation of these Terms, or your violation of law or the rights of any third-party.

1.18 Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-laws rules.

1.19 Changes to These Terms

Command Intelligence Center may update these Terms at any time. Material changes will be posted with a new effective date and will not apply retroactively to prior purchases.

1.20 Order of Precedence

In the event of any dispute or conflict between these Terms, the End-User License Agreement, and the Privacy Policy, the provisions of these Terms shall supersede any other provisions.

1.21 Miscellaneous; Contact

These Terms, the End-User License Agreement, and the Privacy Policy represent the entire agreement between you and Command Intelligence Center for your use of the Service.
